Service agreement and policies for Flores Cleaning Services

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "Client") and Flores Cleaning Services Inc. ("Flores," "we," "us," or "our") governing your use of our website and cleaning services.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

2. Services Provided

Flores Cleaning Services provides professional commercial cleaning services including but not limited to:

  • Office and building cleaning
  • Janitorial services
  • Health and fitness facility cleaning
  • Film and production cleaning
  • Post-construction cleaning
  • Industrial and warehouse cleaning
  • Window cleaning
  • Upholstery and carpet cleaning
  • Floor stripping and waxing
  • Electrostatic disinfection
  • Outdoor maintenance

All services are subject to availability and are provided in accordance with the scope of work agreed upon in writing between Flores and the Client.

3. Service Agreements and Quotes

3.1 Quotes:All quotes provided are estimates based on the information provided by the Client. Final pricing may vary based on actual site conditions and scope of work.

3.2 Written Agreement:A written service agreement will be provided outlining the specific services, frequency, pricing, and terms. Services will commence only after both parties have signed the agreement.

3.3 Modifications:Any changes to the scope of work must be requested in writing and approved by Flores. Additional charges may apply for services beyond the original agreement.

3.4 Term and Termination:Service agreements may be terminated by either party with 30 days written notice unless otherwise specified in the contract.

4. Payment Terms

4.1 Invoicing:Invoices will be issued according to the frequency specified in the service agreement (e.g., weekly, bi-weekly, monthly).

4.2 Payment Due:Payment is due within 30 days of the invoice date unless otherwise agreed in writing.

4.3 Late Payments:Late payments may incur interest charges at a rate of 2% per month (26.82% per annum) or the maximum rate permitted by law, whichever is lower.

4.4 Disputed Charges:Any billing disputes must be raised in writing within 15 days of the invoice date.

4.5 Payment Methods:We accept payment by cheque, e-transfer, credit card, or pre-authorized debit as agreed upon in the service contract.

5. Client Responsibilities

The Client agrees to:

  • Provide safe and unobstructed access to all areas requiring cleaning services
  • Ensure adequate lighting, water, and electrical outlets are available
  • Notify Flores of any hazardous materials or conditions on the premises
  • Secure all valuables and confidential materials
  • Provide adequate notice (minimum 24 hours) for service cancellations or changes
  • Inform Flores of any access codes, keys, or security procedures
  • Report any issues or concerns within 24 hours of service completion
  • Maintain appropriate insurance coverage for the property

6. Flores Responsibilities

Flores Cleaning Services agrees to:

  • Provide trained, uniformed, and background-checked staff
  • Supply all necessary cleaning equipment and supplies (unless otherwise agreed)
  • Maintain comprehensive liability insurance and WSIB coverage
  • Perform services in a professional and timely manner
  • Respect Client confidentiality and property
  • Provide supervision and quality control
  • Address any service concerns promptly
  • Comply with all applicable health, safety, and environmental regulations

7. Liability and Insurance

7.1 Insurance Coverage:Flores maintains comprehensive general liability insurance of $2,000,000 and is compliant with all WSIB requirements.

7.2 Damage Claims:In the event of damage to Client property caused by Flores' negligence, the Client must report the damage in writing within 24 hours of discovery. Flores will investigate and, if liability is established, repair or compensate for the damage.

7.3 Limitation of Liability:Flores' liability for any claim, whether in contract, tort, or otherwise, shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

7.4 Exclusions:Flores is not liable for pre-existing damage, damage caused by the Client or third parties, normal wear and tear, or consequential damages.

8. Cancellation and Rescheduling

8.1 Notice Period:Scheduled services may be cancelled or rescheduled with at least 24 hours notice without penalty.

8.2 Late Cancellations:Cancellations with less than 24 hours notice may be subject to a cancellation fee of up to 50% of the scheduled service cost.

8.3 Emergency Situations:Cancellation fees may be waived in cases of genuine emergencies or circumstances beyond the Client's control.

9. Confidentiality

Flores and its employees agree to maintain strict confidentiality regarding all information, documents, and materials encountered during the provision of services. All staff members sign confidentiality agreements and are trained to respect Client privacy and security protocols.

10. Health and Safety

Both parties agree to comply with all applicable health and safety legislation, including the Occupational Health and Safety Act (OHSA). The Client must inform Flores of any known hazards on the premises, and Flores will conduct risk assessments and implement appropriate safety measures.

Flores reserves the right to refuse service in situations deemed unsafe for our employees until appropriate safety measures are implemented.

11. Quality Guarantee

We stand behind the quality of our work. If you are not satisfied with any aspect of our service, please notify us within 24 hours, and we will return to address the concern at no additional charge.

This guarantee applies only to issues reported within the specified timeframe and does not cover subjective preferences or items beyond the agreed scope of work.

12. Force Majeure

Neither party shall be liable for failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, strikes, or other force majeure events. Services will resume as soon as reasonably practicable.

13. Dispute Resolution

In the event of any dispute arising from these Terms or the provision of services, both parties agree to first attempt to resolve the matter through good faith negotiation. If negotiation fails, the parties may pursue mediation before initiating legal proceedings.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

14. Amendments

Flores reserves the right to modify these Terms at any time. We will provide notice of material changes via email or through our website. Continued use of our services after such changes constitutes acceptance of the modified Terms. Individual service agreements may contain additional specific terms that supersede these general Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.
